Terms of service

These Terms of Service (“Terms”) apply to your use of the Caffeine and Cranks website (the “Site”) and any purchase of products or services from us through the Site (the “Service”).
The Site and Service are operated by C3 Cycling Pty Ltd (trading as Caffeine and Cranks) (“Caffeine and Cranks”, “we”, “us”, “our”).

By accessing the Site or purchasing from us, you agree to these Terms. If you do not agree, you must not use the Site or Service.
Our online store is hosted by Shopify Inc. Shopify provides the e-commerce platform that enables us to sell products and services to you.
1) Definitions
- ACL means the Australian Consumer Law in Schedule 2 of the Competition and Consumer Act 2010 (Cth).
- Consumer has the meaning given in the ACL.
- Products means goods we sell (including parts, accessories, apparel, bikes, and any other goods we offer).
- Services means any services we offer for purchase (if any), such as servicing, fitting, or other workshop services.
- You means the user of the Site and/or purchaser of Products or Services.
2) Eligibility and use of the Site
- You must be at least the age of majority in your place of residence (or have permission from a parent/guardian) to use the Site and purchase Products or Services.
- You must not use the Site or Service for any unlawful or unauthorised purpose, and you must comply with all applicable laws.
- You must not introduce malware, viruses, worms, or any harmful code to the Site or Service.
- We may refuse service, suspend accounts, or cancel orders where permitted by law (including where we reasonably suspect fraud or misuse).
3) Accounts and customer information
- You may need to provide personal information (for example, name, address, email, and payment details) to place an order.
- You agree to provide current, complete, and accurate information and to promptly update it so we can process your order and contact you if needed.
- Our handling of personal information is governed by our Privacy Policy (available on the Site).
4) Orders, acceptance, and order limits
- When you place an order, you are making an offer to purchase. An order is only accepted when we confirm acceptance (for example, by sending a dispatch confirmation or making the Products available for collection), or as otherwise stated on the Site.
- We may, where permitted by law:
- limit quantities per person, per household, or per order;
- cancel or refuse orders (including if we suspect reseller activity, pricing errors, or suspected fraud);
- request additional verification before accepting an order.
- If we cancel or change an order, we will try to notify you using the contact details you provided.
5) Prices, currency, GST, and payment
- Unless stated otherwise on the Site, prices are in Australian Dollars (AUD).
- Unless stated otherwise on the Site, prices are inclusive of GST (if GST applies).
- Shipping fees, installation/service fees, and any other charges will be shown at checkout (or otherwise disclosed prior to purchase).
- We may change prices at any time without notice, but changes will not affect accepted orders (except where required to correct an error as permitted by law).
- We reserve the right to correct pricing or typographical errors. If an error affects your order, we may cancel the order and refund amounts paid, or contact you for instructions.
- Payment must be received in full before dispatch or collection (unless we agree otherwise).
6) Product information and availability
- We try to describe Products accurately, but we do not warrant that all descriptions, images, colours, specifications, or other content are error-free. Screen displays vary and may not reflect actual colour/finish.
- Products may be available online only and may have limited quantities.
- We may discontinue or change Products at any time.
6A) Use of AI in product imagery and marketing
We use artificial intelligence tools to assist in the creation of some marketing imagery, including lifestyle images, promotional graphics, and campaign visuals.
Where AI-generated imagery is used:
- all Products depicted are genuine products sold by us;
- any product shown in the image represents the actual product available for purchase, including its design, colourway, and features;
- we do not use AI-generated imagery to misrepresent, fabricate, or materially alter the appearance of any Product.
We remain committed to accurate product representation. Where imagery is used as a reference for colour or finish, Section 6 of these Terms (Product Information and Availability) applies — screen displays vary and may not reflect exact colour.
7) Delivery, shipping, click & collect, and risk
- Delivery options, costs, and estimated timeframes are shown at checkout (or otherwise on the Site). Timeframes are estimates only and may be affected by events outside our control.
- Click & Collect (if offered): If you select collection, you must collect within any timeframe stated on the Site or in our communications. We may require proof of identity.

Risk and title (ownership):
- To the extent permitted by law, title to Products passes to you when we receive full payment.
- Risk (loss or damage) passes to you when the Products are delivered to your nominated delivery address, or when collected by you (or your authorised representative), unless the ACL requires otherwise.
- If you provide authority to leave Products unattended, you accept the risk once delivered as instructed (to the extent permitted by law).
- You are responsible for ensuring your delivery address is correct and accessible. Additional fees may apply for re-delivery or returns caused by incorrect details.
8) Returns, refunds, exchanges, and the ACL
- Our change-of-mind returns (if any) are set out in our Returns Policy (available on the Site). The Returns Policy may include eligibility requirements (for example, time limits, proof of purchase, condition of items, exclusions for certain goods) to the extent permitted by law.
Australian Consumer Law notice
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the ACL or any other applicable law that cannot be excluded, restricted, or modified. Where the ACL applies, you may be entitled to a repair, replacement, refund, or other remedy for a major failure, and compensation for any other reasonably foreseeable loss or damage.
If a Product or Service fails to meet a consumer guarantee under the ACL, our remedies will be provided in accordance with the ACL.
9) Services (if applicable)
- If we offer Services for purchase, bookings may be subject to availability and confirmation.
- You may need to provide accurate information about your bike/equipment and intended use.
- We may refuse or stop providing a Service if continuing would be unsafe or impractical (and we will discuss options with you).
- Any estimates are estimates only unless expressly stated as a fixed price.
- If additional work is required, we may seek your approval before proceeding (where practicable).
10) Gift cards, discount codes, and promotions (if applicable)
- Gift cards, discount codes, or promotions (if offered) may be subject to additional terms shown at purchase or redemption.
- They may have expiry dates and exclusions as permitted by law.
- We may cancel codes or promotions if we reasonably suspect misuse or fraud (subject to applicable law).
11) Third-party tools and services
- We may provide access to third-party tools or services that we do not control. These are provided “as is” and “as available”.
- Your use of third-party tools may be subject to the third party’s terms and policies.
- We are not responsible for third-party systems, outages, or errors, except to the extent required by law.
12) Third-party links
- The Site may contain links to third-party websites. We are not responsible for third-party content, products, services, or practices.
- You should review third-party terms and policies before transacting with them.
13) User content, comments, and submissions
- If you submit reviews, comments, feedback, or other content (“User Content”), you represent you have the right to submit it and it does not infringe others’ rights.
- You grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, publish, and display that User Content in connection with our business (including marketing), to the extent permitted by law.
- We may remove User Content that we consider unlawful, misleading, offensive, or otherwise inappropriate.
- You must not submit content that is defamatory, abusive, obscene, or contains malware.
14) Intellectual property
- All content on the Site (including text, graphics, logos, designs, and software) is owned by or licensed to us and is protected by intellectual property laws.
- You may use the Site for personal, non-commercial use only.
- You must not copy, reproduce, distribute, or exploit Site content without our prior written permission, except as permitted by law.
15) Prohibited conduct
- You must not, including without limitation:
- use the Site for unlawful purposes;
- infringe intellectual property rights;
- harass, threaten, defame, or discriminate against others;
- collect personal information of others without consent;
- spam, phish, scrape, crawl, or interfere with Site security or functionality.
- We may suspend or terminate your access for prohibited conduct.
16) Privacy and security
- Your use of the Site is subject to our Privacy Policy.
- While we take reasonable steps to protect the Site, you acknowledge that no online service can be guaranteed fully secure.
- You are responsible for maintaining the confidentiality of any account credentials.
17) Accuracy, completeness, and timeliness of information
- Information on the Site may be general in nature and may not be current.
- We may update the Site at any time without notice. You are responsible for monitoring changes.
18) Changes to the Service and these Terms
- We may modify or discontinue the Site or Service (in whole or part) at any time.
- We may update these Terms by posting the updated version on the Site and updating the “Last updated” date.
- Your continued use of the Site after changes become effective means you accept the updated Terms.
19) Disclaimers
- To the maximum extent permitted by law, the Site and Service are provided on an “as is” and “as available” basis.
- We do not guarantee uninterrupted, secure, or error-free operation of the Site.
Important: This clause does not limit your rights under the ACL, including consumer guarantees that cannot be excluded.
20) Limitation of liability
- To the maximum extent permitted by law, and subject to the ACL and any other non-excludable rights:
- we are not liable for indirect or consequential loss (including loss of profits, revenue, savings, or data) arising out of or in connection with your use of the Site, Service, or Products/Services; and
- where we are permitted to limit our liability, our liability is limited (at our option) to:
- for Products: repair, replacement, or refund, or the cost of repair/replacement; and/or
- for Services: resupply of the Services or the cost of resupply.
- Nothing in these Terms limits liability that cannot be limited under law (including under the ACL).
21) Indemnity
- You agree to indemnify and hold harmless C3 Cycling Pty Ltd (t/as Caffeine and Cranks) and our directors, officers, employees, contractors, and agents from any claim or demand arising out of:
- your breach of these Terms;
- your misuse of the Site or Service; or
- your violation of any law or third-party rights,
22) Termination
- These Terms apply until terminated by you or us.
- You may stop using the Site at any time.
- We may suspend or terminate your access where permitted by law, including for breach of these Terms or suspected fraud or misuse.
- Any provisions that by their nature should survive termination will survive (including intellectual property, indemnity, and limitation of liability).
23) Severability
If any part of these Terms is unlawful, void, or unenforceable, that part will be severed and the remainder will remain in effect.
24) Entire agreement
These Terms, together with any policies referenced on the Site (including the Privacy Policy and Returns Policy), form the entire agreement between you and us relating to your use of the Site and Service.
25) Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts of Australia.
